These Terms and Conditions (“Terms”) apply to all services provided by WebSom Digital Services (“WebSom”, “we”, “us”) to you (“Client”, “you”). By hiring us, signing a proposal, paying an invoice or using websom.in, you agree to these Terms.

1. Our Services

We provide the following services:

  • WordPress website design and management
  • On-page and technical SEO
  • Website audits
  • Content writing
  • Social media management
  • Google and Meta ad account management
  • Graphic design

The exact scope, deliverables, timeline and price of each project are set out in the written proposal, quote or invoice we send you. Anything not listed there is outside the scope and may be charged separately.

2. Getting Started

A project begins when you accept our proposal in writing (email or message is enough) and pay the advance amount. We may delay or pause work until the advance is received.

3. Payments

  • Advance: 50% of the project fee is due before work begins, unless the proposal says otherwise.
  • Balance: The remaining 50% is due before we hand over final files, website access or the live launch.
  • Monthly services: SEO, social media and ad management are billed monthly in advance. Payment is due on or before the start of each billing month.
  • Late payment: Invoices unpaid for more than 7 days may lead to paused work. We may remove or restrict access to deliverables until payment is cleared.
  • Taxes: All prices are in Indian Rupees (INR) and exclude GST unless stated. GST is added where applicable.
  • Third-party costs: Domain names, hosting, premium themes, plugins, stock images, fonts and software licences are not included in our fees unless the proposal says so. You pay these directly or reimburse us.

4. Client Responsibilities

To deliver on time, we need you to:

  • Provide text, images, logos, login details and approvals promptly.
  • Give us accurate information and the legal right to use any material you supply.
  • Name one person who can approve work on your behalf.

If you delay in giving materials or feedback for more than 14 days, we may pause the project. The timeline will move forward by the same number of days. We may also charge a restart fee if the delay is longer than 30 days.

5. Revisions

Each project includes the number of revision rounds stated in the proposal. If none is stated, it includes two rounds of revisions for each deliverable. Revisions mean changes to the agreed scope. A new page, new feature or full redesign after approval counts as new work and is quoted separately.

6. Timelines

Delivery dates are estimates and depend on you giving timely content and feedback. We aim to meet every date, but we are not liable for delays caused by you, your other vendors, hosting providers or events outside our control.

7. Ownership and Intellectual Property

  • Your material: You keep ownership of the logos, text, images and other content you give us.
  • Our work: Once you pay in full, you own the final custom designs and written content we create specifically for you.
  • Our tools: We keep ownership of our own templates, code snippets, methods and tools. Third-party themes, plugins and fonts stay under their own licences.
  • Portfolio use: We may show completed work, logos and results in our portfolio and marketing. Tell us in writing if you do not want this.

8. SEO, Social Media and Advertising Results

Search engines, social platforms and ad networks change their rules and algorithms often. For this reason:

  • We do not guarantee any ranking, traffic, follower count, lead number, sales figure or return on investment.
  • SEO usually needs 3 to 6 months to show results.
  • Ad spend is separate from our management fee. You pay it directly to Google, Meta or the relevant platform.
  • If a platform suspends your ad account because of your content, products or policy violations, we are not responsible for the loss.

9. Website Hosting, Backups and Security

Unless the proposal includes website management or maintenance, you are responsible for hosting, backups, updates and security after launch. We are not liable for data loss, hacking, downtime or plugin conflicts that happen after handover or because of third-party services. We recommend regular backups and keeping WordPress, themes and plugins updated.

10. Access to Your Accounts

You may need to give us access to your website, hosting, domain, social media or ad accounts. We use this access only to deliver the agreed services. You should use strong passwords and remove our access when the work ends. We keep your login details confidential.

11. Content You Provide

You confirm that all content you give us, including text, images, videos, music and product claims, is lawful and does not infringe anyone’s copyright, trademark or other rights. You are responsible for any claim arising from this content. Our work follows the Copyright Act, 1957 and other applicable Indian laws.

12. Confidentiality and Data Protection

We keep your business information, login details and project data confidential. We do not share them with others except where needed to deliver the service (for example, a hosting provider) or where the law requires it. We handle personal data according to our Privacy Policy and the Digital Personal Data Protection Act, 2023.

13. Cancellation and Refunds

  • By you: You may cancel in writing at any time. Fees for work already completed and all non-refundable third-party costs stay payable.
  • Advance payments: The advance is non-refundable once work has started, because it covers planning and design time.
  • Monthly services: Give us at least 15 days’ written notice before the next billing cycle. We do not refund fees for a month that has already started.
  • By us: We may end the service if you do not pay, break these Terms, or ask us to do something unlawful or unethical. We will refund any prepaid amount for work we have not started.
  • Quality concerns: If you are unhappy with a deliverable, tell us in writing within 7 days of receiving it. We will work with you to fix valid problems before any refund is considered.

14. Limitation of Liability

To the fullest extent the law allows, WebSom is not liable for indirect, incidental or consequential losses, including lost profits, lost data, lost business or loss of reputation. Our total liability for any claim is limited to the fees you paid us for the specific service that caused the claim, during the three months before the claim.

15. Third-Party Services

We may use or recommend third-party tools such as hosting companies, plugins, payment gateways, Google, Meta and email platforms. These services have their own terms and policies. We are not responsible for their performance, pricing or changes.

16. Use of Our Website

You agree not to misuse websom.in. This includes trying to hack it, spreading malware, copying our content without permission or using it for any unlawful purpose. We may update, suspend or remove any part of the site at any time. Under the Information Technology Act, 2000, unauthorised access to a computer system is an offence.

17. Changes to These Terms

We may update these Terms from time to time. The date at the top shows the latest version. If you keep using our services after an update, you accept the new Terms. For ongoing projects, the Terms in force when you accepted the proposal apply unless both sides agree otherwise in writing.

18. Governing Law and Disputes

These Terms are governed by the laws of India. We will first try to settle any dispute through direct discussion. If that fails, the courts at Jalandhar, Punjab have exclusive jurisdiction.
